Terms of Service

1 About Build Ezi

These Terms of Service (“Terms”) govern your access to and use of the Build Ezi construction project management platform (“Platform”), operated by BUILD EZI AU PTY LTD (ABN 77 657 772 864) (“Build Ezi”, “we”, “us”, “our”).

The Platform includes the Build Ezi mobile application (available on iOS and Android), the website at www.buildezi.com, and all associated services, tools, templates, documents, and workflows provided through them.

By registering for an account, starting a free trial, or using the Platform, you agree to these Terms. If you do not agree, please do not use the Platform.

2 Eligibility

You may use the Platform only if you:

• Are at least 18 years of age;
• Are using the Platform for legitimate business purposes;
• Are authorised to enter into a binding agreement on behalf of your business (if registering on behalf of a company); and
• Have provided accurate, current, and complete registration information.

Build Ezi is intended for use by construction businesses, builders, trade contractors, and their teams operating primarily in Australia.

3 Account Registration and Security

3.1 Registration

To use the Platform, you must create an account by providing your email address, name, business details, and a password. You must ensure that all information provided is accurate and up to date.

3.2 Account Types

The Platform supports three account types:

• Builder — the primary subscription account holder who manages projects and teams;
• Worker — employees, contractors, or subcontractors added by a Builder to a project; and
• Client — clients of a Builder given restricted access to their project.

Worker and Client accounts are added by the Builder and do not independently hold a subscription. The Builder is responsible for the conduct of all users added to their account.

3.3 Account Security

You are responsible for keeping your login credentials secure. You must not share your password with any person who should not have access. If you suspect your account has been compromised, you must notify us immediately at info@buildezi.com. We are not liable for losses arising from unauthorised use of your account where you have failed to take reasonable steps to protect your credentials.

4 Free Trial

At the end of the free trial, you may subscribe to a paid plan or your account will lapse.

During the free trial, you cannot make subscription payments. You will not be automatically charged at the end of your trial without your explicit action to subscribe.

5 Subscription and Payment

5.1 Pricing

The current subscription price is AUD $38.00 per week (equivalent to approximately AUD $163.40 per month, inclusive of GST where applicable). This is beta pricing. Pricing is subject to change with at least 30 days written notice to your registered email address. If you do not agree to a price change, you may cancel your subscription before the change takes effect and will not be charged at the new rate.

5.2 Billing

Subscriptions are billed monthly in advance to your nominated payment method via Stripe. Your first billing date is the date you convert from free trial to a paid subscription.

5.3 Auto-Renewal

Your subscription automatically renews each month unless you cancel before your billing renewal date. By subscribing, you authorise us to charge your nominated payment method on each renewal date without further notice. We will send you a reminder before each renewal, and you may cancel at any time before your renewal date.

5.4 GST

All prices are in Australian Dollars (AUD). GST is included in the quoted price where applicable to Australian subscribers.

5.5 Failed Payments

If a payment fails, we will notify you by email and give you 7 days to update your payment details. If payment is not resolved within 7 days, your account may be suspended. If unresolved after 30 days, your account may be terminated. We are not liable for any loss of data or access resulting from account suspension or termination due to non-payment.

6 Cancellation

You may cancel your subscription at any time through your account settings or by emailing info@buildezi.com. Cancellation takes effect at the end of your current billing period. You will retain access to the Platform until that date. No partial refunds are provided for unused days in a billing period.

7 Refund Policy

7.1 Free Trial

No charges apply during the 30-day free trial. If you choose not to subscribe at the end of your trial, you owe nothing.

7.2 7-Day Satisfaction Window

7.3 After the 7-Day Window

After the 7-day window closes, subscription fees are non-refundable. You may cancel at any time and retain access until the end of the billing period.

7.4 Australian Consumer Law

8 Your Data

All data, files, documents, photos, and information you upload or create within the Platform (“Subscriber Data”) belongs to you. We do not claim ownership over your Subscriber Data. We do not sell your Subscriber Data to third parties.

You can export your data at any time during your subscription. On account termination, your data is retained for 30 days to allow export, after which it is permanently deleted.

By uploading content to the Platform, you grant us a limited, non-exclusive licence to store, process, and display that content solely for the purpose of providing the Platform to you.

9 Acceptable Use

You agree to use the Platform only for lawful business purposes. You must not:

• Use the Platform to store, transmit, or share illegal, defamatory, abusive, or fraudulent content;
• Attempt to access another user’s account without authorisation;
• Attempt to hack, reverse-engineer, decompile, or disrupt the Platform or its underlying technology;
• Resell, sublicence, or provide access to the Platform to a third party without our written permission;
• Upload malware, viruses, or malicious code;
• Use the Platform to build a competing product or service;
• Scrape, harvest, or extract data from the Platform by automated means.

We reserve the right to suspend or terminate your account if we reasonably believe you have breached these Acceptable Use obligations.

10 Integrations

The Platform currently supports or is developing the following third-party integrations:

• Xero — accounting integration (live). Your use of Xero integration is also subject to Xero’s terms of service.
• MYOB — accounting integration (in development). When available, your use of MYOB integration will be subject to MYOB’s terms.
• Stripe — payment processing for Build Ezi subscriptions. Not an in-app payment integration.

We are not responsible for the availability, functionality, or terms of third-party integrations. Third-party services may change, discontinue, or alter their APIs without notice, which may affect integration availability.

11 Intellectual Property

The Build Ezi Platform, including all software, design, templates, content, trademarks, and materials, is owned by or licensed to BUILD EZI AU PTY LTD and is protected by Australian and international intellectual property laws.

Your subscription gives you a limited, non-exclusive, non-transferable licence to use the Platform for your internal business purposes only. You must not copy, modify, distribute, or create derivative works based on any part of the Platform without our written permission.

You retain ownership of all Subscriber Data and intellectual property you upload or create within the Platform.

12 Platform Availability and Changes

We aim to provide the Platform on a continuous basis but do not guarantee uninterrupted access. The Platform may be temporarily unavailable due to:

• Scheduled maintenance (which we will endeavour to notify you of in advance);
• Emergency maintenance or security patches;
• Third-party infrastructure outages; or
• Events beyond our reasonable control.

We reserve the right to modify, update, or discontinue any feature of the Platform. We will provide reasonable notice of material changes.

13 Disclaimer of Warranties

To the maximum extent permitted by law, the Platform is provided “as is” and “as available” without any warranty, express or implied. We do not warrant that:

• The Platform will be free from errors, bugs, or interruptions;
• The Platform will meet your specific requirements; or
• Any safety compliance documents, templates, or tools within the Platform constitute legal or professional advice.

14 Limitation of Liability

(a) Nothing in this clause limits or excludes any liability that cannot lawfully be limited or excluded, including any liability under the Australian Consumer Law for a failure to comply with a consumer guarantee.

(b) Subject to clauses (a) and (d), neither party is liable to the other for any indirect, incidental, special, consequential or punitive loss or damage, or for any loss of profits, revenue, anticipated savings, data or business opportunity, however arising, whether in contract, tort (including negligence), under statute or otherwise.

(c) Subject to clauses (a) and (d), our total aggregate liability to you arising out of or in connection with this agreement in any 12 month period is limited to the total subscription fees paid by you to us in that 12 month period.

(d) The exclusions and limit in clauses (b) and (c) do not apply to liability arising from fraud or wilful misconduct.

15 Indemnification

You agree to indemnify, defend, and hold harmless Build Ezi and its directors, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from any of the following, except to the extent caused by our own negligence or wilful misconduct:

• Your use of the Platform;
• Your breach of these Terms;
• Any content or data you upload to the Platform; or
• Your violation of any applicable law or the rights of a third party.

16 Governing Law and Dispute Resolution

These Terms are governed by the laws of Queensland, Australia. Any dispute arising out of or in connection with these Terms is subject to the exclusive jurisdiction of the courts of Queensland, Australia.

Before initiating any legal proceedings, both parties agree to attempt to resolve any dispute informally by contacting info@buildezi.com and giving 30 days for resolution.

17 Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by:

• Posting updated Terms on our website with a new effective date; and
• Sending an email notification to your registered email address.

Your continued use of the Platform after notification constitutes your acceptance of the updated Terms. If you do not agree to the changes, you should cancel your subscription and cease using the Platform.

18 General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, Cookie Policy, Acceptable Use Policy, and SaaS Subscription Agreement, constitute the entire agreement between you and Build Ezi relating to your use of the Platform.
• Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
• Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
• Assignment: We may assign our rights and obligations under these Terms to a successor entity in connection with a merger, acquisition, or sale of our business, with 30 days notice to you.
